BarterPalace.com Term of Use.

Article 1: Eligibility of Membership

People who are under the age of 18 are not eligible for membership due to various state laws concerning the age of majority. If you do not meet these requirements, you are not eligible to use the services.

Article 2: Services

BarterPalace.com provides online internet trading services to individuals and companies interested in selling, buying, and bartering merchandise via an integrated internet trading place. We have limited control over the items that are posted on this trading site, and cannot guarantee the authenticity and/or quality of any product contained herein. BarterPalace.com does not represent or endorse the accuracy, reliability, integrity or legality of any advice, opinion, offer, proposal, statement, listing, data or other information (collectively, "Content") displayed or distributed through the service. Some Content accessible on the BarterPalace.com site may be believed to be harmful, offensive, or inaccurate, and in some cases may be mislabeled or deceptively labeled. BarterPalace.com hereby disclaims any liability for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of or reliance on any Content posted, emailed or otherwise transmitted via the service. BarterPalace.com shall have no obligation to review Content posted to the service by users or by BarterPalace.com. BarterPalace.com shall have the right, but not the obligation, in its sole discretion, to correct any errors or omissions in any portion of the service or to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, modify, refuse to post or remove any Content, in whole or in part, that in BarterPalace.com's sole discretion is objectionable or in violation of this Agreement. Use of this site is at your own risk and content is presented 'AS-IS' for your convenience.

Article 3: Posting Items

As a member, you are welcome to post items for sale on BarterPalace.com site. We do have certain restrictions on what items you may sell and what you may not sell. You may not sell illegal merchandise, including but not limited to, pirated software and music, firearms, or anything that is affiliated with violence, hatred, discrimination, adult content, etc. Items that are up for trade are subject to review by the staff of BarterPalace.com , and may be removed without prior notice, if found in violation with this User Agreement.

Article 4: Trading Assistance

User acknowledges that the sole principals in any trade are the buyer and the seller. User acknowledges that trades are entered into voluntarily, and that BarterPalace.com is not a guarantor of any transaction. BarterPalace.com will use its best efforts to record trades accurately, to administer the trading regulations in accordance with their terms, and to assist in the sale of users' goods and services to other BarterPalace.com users. However, the initiative for using BarterPalace.com services for economic benefit is exclusively that of the user. BarterPalace.com shall use its best efforts to enroll new individuals and businesses with products and services to meet the needs of users. Ultimately, the responsibility of bring goods and services to the exchange is the responsibility of its users. BarterPalace.com is not responsible if a user cannot find specific products or services or customers for their products and services.

Article 5: Charges

The use of this site is free of charge to any member. We reserve the right to impose a charge at any time without prior written notice. Items that are posted will remain free of charge. Only new listings will be charged after the announcement is posted on this site.

Article 6: Privacy

By using the services provided by the BarterPalace.com, you acknowledge that you have read and agree to our Privacy Policy that are posted on the following web address: www.BarterPalace.com/privacy-policy.html.

Article 7: Warranty

The services provided by BarterPalace.com are on an 'AS-IS' basis, without warranty or guarantee of suitability of condition. BarterPalace.com is not liable for any damages resulting from your participation in a trade, or from your visit to the site.

Article 8: Termination of Membership

BarterPalace.com, in its sole discretion, has the right to delete or deactivate your membership and any contents posted by you immediately without prior notice, if BarterPalace.com believes that you have acted inconsistent with the Term of Use agreement.

Article 9: Indemnification

User shall indemnify, defend and hold harmless BarterPalace.com, and all of its subsidiaries, affiliates, officers, directors, owners, agents, co-branders or other partners, employees, information providers, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all liability, costs, losses, damages, claims and demands, including without limitation attorneys fees and costs incurred by the Indemnified Parties, arising out of or related to (i) User's use of the service including listing, buying and selling goods or services and providing Content; (ii) any breach or non-compliance by User of this Agreement, any of BarterPalace.com's rules or policies, or User's representations, warranties and covenants contained herein; (iii) any dispute or litigation between an Indemnified Party and a third party caused by User's actions; and (iv) User's negligence or violation or alleged violation of any rights of another. User shall fully cooperate with the Indemnified Party and provide all assistance reasonably requested by the Indemnified Party in the defense and settlement of any claim. The Indemnified Party shall have the right at its own expense, but not the obligation, to assume the exclusive defense and control of any matter subject to indemnification by User, and User shall not in any event settle any matter without the written consent of the Indemnified Party.

Article 10: Notices

Except as explicitly stated otherwise, any notices shall be given by email to admin@BarterPalace.com (in the case of BarterPalace.com) or to the email address you provide to BarterPalace.com during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed given 24 hours after the email is sent.

Article 11: Waiver

Any failure or delay by BarterPalace.com in exercising any of its rights or powers shall not constitute a waiver thereof and any non-exercise of any right or power shall not preclude any future exercise of such right or power.

Article 12: Severance

If any part of this Agreement is or becomes invalid, void, illegal or unenforceable, it shall not affect the validity and enforceability of all other parts of this Agreement. Article13: Disclaimer of Warranties BarterPalace.com makes no representation or warranty either express or implied as to the quality, supply or availability of any products or services advertised in the BarterPalace.com site. Any implied warranties as to the fitness, quality or merchantability of any products or services or the supply thereof are expressly excluded to the fullest extent permitted by law. BarterPalace.com shall not be responsible for and disclaims all responsibility or liability for transactions that are not conducted in accordance with this Agreement.
